Terms of Service

Adtool ApS (CVR: 45752577), Vallensbækvej 63, 2625 Vallensbæk, Denmark ("Adtool", "we", "us") provides Adtool.io. Contact: hello@adtool.io. These Terms of Service govern your access to and use of Adtool.io.

1. Acceptance of Terms

By accessing or using Adtool.io, or by signing an order form or subscription agreement that references these terms, you agree to be bound by these Terms of Service, our Privacy Policy, and our Data Processing Agreement. If you do not agree to these terms, please do not use the Service.

These terms constitute a legally binding agreement between you and Adtool ApS (CVR: 45752577), a Danish company.

Adtool.io is a business-to-business service intended solely for businesses and professionals using it in their commercial or professional capacity. By using the Service, you confirm that you are not acting as a consumer.

2. Service Description

Adtool.io (the "Service") is an advertising management platform that enables users to create, manage, and optimize advertising campaigns. The Service currently integrates with the Meta (Facebook/Instagram) Marketing API and Google Drive to provide comprehensive advertising tools; additional channels and integrations may be added over time.

The Service includes analytics and reporting features that may cache campaign performance data retrieved from Meta in order to power dashboards and history. Cached figures can lag the numbers shown in Meta's own tools; Meta's reporting remains the authoritative source.

Service Improvement: We may use aggregated data that has been anonymised such that it no longer constitutes personal data within the meaning of the GDPR to analyze patterns and improve our services. This data cannot identify individual users or accounts and is used solely to enhance the platform for all users. See our Privacy Policy for details.

Analytics and Product Improvement: The Service uses analytics tools (PostHog, Google Tag Manager) to improve user experience and platform functionality, as detailed in our Privacy Policy.

3. User Accounts and Responsibilities

You are solely responsible for ensuring your advertising campaigns comply with all applicable laws, Meta's policies, and industry regulations in your jurisdiction.

4. Pricing and Payment

4.1 Subscription Plans

Adtool.io operates on a subscription basis with different plans available. Current pricing and plan details are listed on our website at https://adtool.io.

4.2 Payment Terms

Subscription fees are billed in advance, either monthly or annually as selected during signup. Payments are handled by our payment provider, Stripe, and are charged in the currency shown at checkout. All prices are exclusive of VAT and any other applicable taxes, which are added where required.

Overdue amounts bear interest at 1.5% per month from the due date until payment is received, or at the highest rate permitted by applicable law if lower. Adtool may also recover the reasonable costs of collection.

4.3 Automatic Renewal

Your subscription renews automatically for successive billing periods of the same length until you cancel. Each renewal is charged to your saved payment method at the price then in effect for your plan.

4.4 Price Changes

Adtool may change its prices, plans, and fees from time to time. For an active subscription, a price change takes effect from the start of your next billing period and only after we have given you at least 30 days' notice by email to your account address. For annual plans, price changes take effect at your next annual renewal, and we will give notice at least 30 days before that renewal date. If you continue using the Service after the new price takes effect, you accept it. If you prefer not to, you may cancel before the change applies, and your current price will remain in effect until the end of your then-current billing period.

4.5 Refunds

Except where mandatory law requires otherwise, all payments are non-refundable. This includes fees already paid for a partial billing period and for any period in which the Service was available but not used. Refunds where Adtool terminates for convenience are addressed in Section 10 (Account Termination).

4.6 Non-Payment

Failure to pay subscription fees will result in suspension of access to the Service. Access will be restored upon payment of outstanding amounts.

5. Data Rights and Ownership

5.1 Your Data

You retain ownership of your campaign data, creative content, and business information. You grant Adtool a limited, non-exclusive license to host, store, process, and display this data solely to provide the Service, for the duration of your account.

5.2 Service Improvement Data

Adtool may use aggregated data that has been anonymised such that it no longer constitutes personal data within the meaning of the GDPR to analyze patterns and improve our services. This data cannot identify individual users or accounts and is used solely to enhance the platform for all users.

5.3 Operational Access

Adtool personnel access your account and data only where necessary to provide support you have requested, to maintain the security and integrity of the Service, to comply with law, or as otherwise described in our Data Processing Agreement, never for any other purpose.

5.4 Data Upon Termination

Upon account termination, your personal data and campaign-specific information will be deleted in accordance with our Data Processing Agreement, following the 90-day data export window described in Section 10 (Account Termination). Aggregated and anonymised data used for service improvement, as described in Section 5.2, may be retained.

6. Service Availability and Limitations

6.1 Service Availability

Adtool.io is provided "as is" without guarantees of uptime or availability. Adtool will make reasonable efforts to maintain service availability but does not guarantee uninterrupted access.

6.2 Third-Party Dependencies

The Service depends on third-party APIs (Facebook, Google Drive) and infrastructure providers (Supabase). Service interruptions may occur due to third-party issues beyond our control.

6.3 Maintenance and Updates

Adtool reserves the right to perform maintenance, updates, and modifications to the Service. Users will be notified of planned maintenance when possible.

6.4 Support

We provide documentation and email/chat support for active subscriptions. Support covers the use of the Service itself; it does not include custom development, advertising strategy or campaign management, or troubleshooting of third-party systems (such as your Meta or Google accounts). We aim to respond promptly, but specific response times are not guaranteed.

6.5 Beta and Experimental Features

We may make beta or experimental features available before they are finished. Beta features are provided as-is, may change or be withdrawn at any time without notice, and are excluded from any support commitments. You use them at your own risk.

7. Disclaimer and Limitation of Liability

The Service is provided "as is" and "as available." To the maximum extent permitted by Danish law, Adtool makes no warranties of any kind, whether express or implied, and gives no guarantee as to performance, results, uptime, availability, or fitness for any particular purpose. You use the Service at your own risk and remain fully responsible for your advertising activity, including your campaigns, content, decisions, budgets, and results.

To the maximum extent permitted by Danish law:

You acknowledge that advertising results depend on many factors outside of our control, including market conditions, competition, and campaign strategy.

Nothing in these terms excludes or limits liability arising from Adtool's gross negligence or intentional misconduct, or any other liability that cannot be excluded or limited under mandatory Danish law.

8. User Indemnification

You agree to indemnify, defend, and hold harmless Adtool, its owners, and its employees from and against any third-party claims, demands, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your advertising campaigns or content; (b) your use of the Service; (c) your breach of these terms; or (d) your violation of any applicable law or any third-party policy or rights, including the policies of Meta and Google.

9. Intellectual Property

All rights, title, and interest in Adtool.io, including software, design, and trademarks, belong to Adtool. Users receive a limited, non-exclusive license to use the Service according to these terms.

Users retain ownership of their original creative content and grant Adtool the license described in Section 5.1 solely for the purpose of providing the Service.

10. Account Termination

10.1 Termination by You

You may terminate your account at any time by contacting support@adtool.io. Data deletion will be handled according to our Data Processing Agreement and Privacy Policy.

10.2 Termination by Us

Adtool may terminate accounts:

Where Adtool terminates your account for convenience or business reasons (and not for your breach or any of the conduct listed above), we will refund any prepaid, unused fees on a pro-rata basis for the remaining portion of your then-current billing period. No refund is due where you cancel your account or where we terminate for cause, including breach of these terms, illegal activity, or abuse.

10.3 Data Export

For 90 days after termination, unless you request earlier deletion, your data is kept intact so that you can export a copy of your campaign data and creative content, or reactivate your account. After this 90-day window, your personal data and campaign-specific information will be deleted in accordance with our Data Processing Agreement. If you request deletion, it will be carried out within 90 days of your request and is permanent, deleted data cannot be restored.

11. Changes to Terms

Adtool reserves the right to modify these Terms of Service. For material changes, we will give you at least 14 days' notice by email to your account address or by notice within the platform before they take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated terms. If you do not agree to the changes, you may cancel your account before they take effect. We may make non-material changes (such as clarifications or corrections) with immediate effect.

12. Force Majeure

Adtool is not responsible for any delay or failure to provide the Service that results from events beyond our reasonable control. This includes outages, restrictions, or changes affecting the third-party providers we rely on (such as Meta, Google, and our hosting and infrastructure providers), internet or network failures, acts of public authorities, and other force majeure events.

13. Severability

If any provision of these terms is found to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

14. General

14.1 Assignment

Adtool may assign or transfer these terms, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign or transfer these terms without our prior written consent. These terms bind and benefit the parties and their permitted successors and assignees.

14.2 Entire Agreement and Order of Precedence

These Terms of Service, together with our Privacy Policy, our Data Processing Agreement, and any signed order form or subscription agreement between you and Adtool, constitute the entire agreement between you and Adtool regarding the Service and supersede any prior agreements or understandings, whether written or oral, on that subject.

In the event of a conflict between these documents, the following order of precedence applies: (1) any signed order form or subscription agreement between you and Adtool; (2) the Data Processing Agreement, for matters concerning the processing of personal data; (3) these Terms of Service; (4) the Privacy Policy.

14.3 No Waiver

Our failure to enforce any provision of these terms is not a waiver of that provision or of our right to enforce it later. Any waiver must be in writing to be effective.

14.4 Notices

Notices to you will be sent by email to the address associated with your account or posted within the platform. Notices to Adtool must be sent by email to hello@adtool.io. A notice is treated as received on the day it is sent if sent on a business day, and otherwise on the next business day.

14.5 Publicity

You grant Adtool a limited, revocable, non-exclusive right to use your company name and logo to identify you as a customer on our website and in marketing materials. You may withdraw this permission at any time by contacting support@adtool.io, and we will remove the reference within a reasonable time.

14.6 Electronic Acceptance

These terms may be accepted electronically, including by click-acceptance or electronic signature, which has the same legal effect as a handwritten signature.

15. Confidentiality

Each party may receive non-public information from the other that a reasonable person would consider confidential, including campaign data, business plans, pricing, and technical details ("Confidential Information"). Each party agrees to use the other's Confidential Information only as needed to perform under these terms, to protect it with at least the same care as its own confidential information, and not to disclose it to anyone except employees and service providers who need it and are bound by confidentiality obligations. This does not apply to information that is publicly available, already lawfully known, independently developed, or that must be disclosed by law (with notice to the other party where permitted). These obligations survive termination for 3 years.

16. Governing Law, Dispute Resolution and Language

These Terms of Service are governed by Danish law. Any disputes shall be resolved in the competent courts of Denmark.

Both parties agree to attempt good faith resolution of disputes before pursuing legal action.

These terms are written in English, which is the governing language. Any translation is provided for convenience only; in the event of any conflict, the English version prevails.

18. Meta & Google API Compliance

By using Adtool.io, you acknowledge that your use of the Meta (Facebook) and Google integrations is subject to their respective Terms of Service and API policies, and you agree to comply with them. In particular, when accessing data through the Meta Marketing API via Adtool.io, you agree to: (a) use that data only to manage your own advertising campaigns; (b) not sell, license, or transfer the data to any third party, and not use it for any purpose incompatible with Meta's Platform Terms; (c) delete data obtained through the integration when it is no longer needed, upon Meta's request, or on termination of your account; (d) maintain appropriate technical and organizational security for that data; and (e) make any disclosures to end users required by applicable law and by Meta's and Google's policies. You remain responsible for compliance with all platform-specific requirements and restrictions.
